Terms of Service

These Terms of Service (the "Terms") are an agreement between ROP Consulting AB, org. no. [●], Sweden ("ROPARC", "we") and the organization you represent (the "Customer", "you"). They govern access to and use of the ROPARC service (the "Service"). By creating a workspace or using the Service you confirm you accept these Terms on behalf of your organization.
1. Business customers only
The Service is offered exclusively to businesses, public-sector bodies, and other legal entities for use in their trade or profession. By registering you confirm you are acting on behalf of such an entity and not as a consumer. Consumer-protection rules applicable to consumer contracts (including withdrawal rights for distance contracts) do not apply.
2. Accounts and workspaces
You are responsible for safeguarding account credentials, for the actions of the users you invite into your workspace, and for ensuring your users comply with these Terms. Notify us without undue delay at [email protected] if you suspect unauthorized access to your account.
3. Plans, seats, and billing
- Paid plans are billed per seat per month at the prices shown on the pricing page at the time of purchase, subject to the seat minimums stated there. Prices are exclusive of VAT.
- Billing is handled by Stripe. You can change plan, add or remove seats, update payment details, and cancel via the billing portal in your workspace settings. Seat changes are prorated by Stripe.
- A member of your workspace occupies one seat. You may not share a single seat between multiple individuals.
- Subscriptions renew monthly until cancelled. Cancellation takes effect at the end of the current billing period; see the Refund & Cancellation Policy.
- If a payment fails we retain your plan during a grace period while the charge is retried. If payment ultimately fails, your workspace is downgraded to the Free plan and its limits; your data is not deleted by a downgrade.
- VAT: Swedish customers are charged Swedish VAT. EU customers providing a valid VAT number are invoiced under the reverse-charge mechanism.
4. Free tier
Free workspaces are provided for evaluation, subject to the limits on the pricing page. Free workspaces that remain inactive for 30 days may be removed after prior email notice.
5. Your data and ownership
You retain all rights to the content you and your users put into the Service ("Customer Data"). We process Customer Data only to provide the Service, as described in the Privacy Policy and the Data Processing Addendum, which forms part of these Terms for all customers.
6. Portability, switching, and exit
Your requirements, documents, links, baselines, and their full change history are stored as standard Git repositories. In line with Regulation (EU) 2023/2854 (the "Data Act"):
- You may export your Customer Data, including its complete version history, at any time during the subscription and for 30 days after termination, in standard formats (Git repositories and structured exports).
- We do not charge fees for data egress or switching.
- On written request we will provide reasonable assistance with migration to another provider or to self-hosting.
- After the post-termination retrieval period we delete Customer Data within 30 days, except where retention is required by law.
7. Acceptable use
You agree not to misuse the Service. In particular, you will not:
- attempt to gain unauthorized access to other organizations' data or to the Service's infrastructure;
- use the Service to store or distribute unlawful content;
- resell or provide the Service to third parties except as agreed in writing;
- interfere with or disrupt the integrity or performance of the Service;
- circumvent seat counting, plan limits, or other technical restrictions.
8. AI features
Optional AI-assisted features ("RoPAI") generate suggestions using third-party large-language-model providers listed on the sub-processor page. AI output is marked as such in the product and is provided as a drafting aid — you are responsible for reviewing it before relying on it in any deliverable. Content is sent to the AI provider only when you invoke an AI feature.
9. Availability and support
We operate the Service with reasonable skill and care but do not promise a specific availability level on self-serve plans. Support channels and response targets per plan are listed on the pricing page. Scheduled maintenance is announced in advance where practicable.
10. Intellectual property
We retain all rights to the Service and its software. You receive a non-exclusive, non-transferable right to use the Service for your internal business purposes during the subscription. Feedback you provide may be used to improve the Service without obligation.
11. Confidentiality
Each party will protect the other's confidential information with at least the care it applies to its own and use it only to perform under these Terms.
12. Warranties and liability
The Service is provided "as is" to the extent permitted by law. Neither party is liable for indirect or consequential damages. Each party's total aggregate liability under these Terms is capped at the fees paid by the Customer in the 12 months preceding the event giving rise to liability. Nothing in these Terms limits liability for willful misconduct, gross negligence, or other liability that cannot be limited under applicable law.
13. Suspension and termination
We may suspend a workspace for material breach of these Terms (including non-payment after the grace period) after notice where practicable. You may terminate at any time by cancelling your subscription. Sections 5, 6, 11, and 12 survive termination.
14. Changes
We may update these Terms; material changes will be announced by email or in-product at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. Price changes never apply retroactively to a running billing period.
15. Governing law and venue
These Terms are governed by the laws of Sweden, without regard to its conflict-of-law rules. Disputes shall be resolved by the Swedish courts, with the District Court of [●] as first instance.
